Item 7.01. Regulation FD.
As previously disclosed on its Current Report on Form 8-K filed on October 2, 2024, Summit Midstream Corporation, a Delaware corporation (the “Company”), entered into a Business Contribution Agreement (the “Business Contribution Agreement”), by and among the Company, Summit Midstream Partners, LP, a Delaware limited partnership (the “Partnership”), and Tall Oak Midstream Holdings, LLC, a Delaware limited liability company (“Tall Oak Parent”), pursuant to which Tall Oak Parent will contribute all of its equity interests in Tall Oak Midstream Operating, LLC to the Company in exchange for certain cash and equity consideration from the Company (the “Transaction”).
Subsequently, on October 2, 2024, the Company hosted a conference call, relating to the Transaction, which was broadcast live over the internet. A replay of the conference call is available on the Company’s website at www.summitmidstream.com under the “Investors—Events and Presentations” tab, and a copy of the call transcript is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this item 7.01 by reference. The information on the Company’s website does not constitute a part of this Current Report on Form 8-K.
